Employee Contest – "Wellness Hub Contest"

Official Rules

1. Timeframe
Nutrien Ltd. ("Nutrien") "Wellness Hub Contest" (the "Contest") begins on April 17, 2019 at 6:00 a.m. Mountain Time ("MT") and closes at 11:59 p.m. MT on April 30, 2019 (the "Contest Period").

2. Eligibility
The Contest is open to any Wellness Hub user in North America, who have reached the age of majority in their respective place of residence subject to the following eligibility exclusions: independent contractors, executive leadership team members, members of the Occupational Health, Hygiene and Wellness team and any individual that has participated in the preparation of the Contest are not eligible. Void in Quebec and where prohibited by law.

3. Entrance Instructions
To participate in the Contest, entrants must enter before the close of the Contest Period by filling out the questionnaire available at http://nutrienhealth.org/ and click "Submit". There is a limit of one entry per entrant during the Contest Period. If it is discovered that an entrant has submitted or has attempted to submit multiple entries using separate online submissions, or different names or identities, then he or she may be disqualified and all of his or her entries will be ineligible for entry in the Contest. Nutrien is not responsible for and disclaims any liability for any late, lost, delayed, incomplete, incorrect or misdirected entries, any human, computer, online, telephone or technical malfunctions that may occur and any printing or typographical errors in any materials associated with the Contest.

4. Selection and Notification of Winner
After the Contest Period, thirty (30) winners will be selected by random draw from the pool of entrants that answered all of the questions correctly. The winner is subject to verification of eligibility and compliance with these Official Rules before being entitled to any prize. Nutrien reserves the right not to award a prize if, in Nutrien's sole discretion, they do not receive any eligible and qualified entries. Selected winners will be contacted via email within five business days of the winner determination ("Winner Notification"). The selected winners will be required to respond within five business days (and
provide the documentation described in Section 6 below) in order to claim the prize. If a selected winner fails to reply to the winner Notification, is contacted but does not claim the prize, or does not meet all of the Contest conditions outlined in these Official Rules, the potential winner will be disqualified and will forfeit his or her Prize, and another random draw will be conducted in accordance with this Section 4. If the next winner also fails to respond, to claim the prize, or to comply with the foregoing conditions, Nutrien will apply the same procedure until contact is made with a potential winner who meets Contests requirements or until there are nomore eligible entries, whichever comes first. Nutrien is not responsible for failed attempts to notify any selected entrant. Upon prize forfeiture, no compensation will be given.

5. Prizes
The winners shall receive a Nutrien branded gift pack.

The prize awarded is non-exchangeable, non-transferable, non-refundable, has no cash-surrender value, and must be accepted as awarded with no substitutions. Nutrien reserves the right to substitute an alternate prize that is, in Nutrien's discretion, of equal value. Failure to redeem a prize (or prize portion) will result in forfeiture of the prize. Each winner will be responsible for all taxes (including federal, state, provincial, local and/or income) on the prize.

6. General Rules, Restrictions and Other Conditions
Each winner must execute and return any documentation required in the Winner Notification as Nutrien may determine acting reasonably, within five business days following the date of theWinner Notification. Failure to comply with this deadline may result in forfeiture of the prize.

By participating in the Contest, all entrants agree to be bound by these Official Rules. Nutrien reserves the right to withdraw, amend, or suspend the Contest or amend the rules set forth herein in its sole discretion in certain circumstances, including, without limitation suspension of the Contest in the event of computer errors, corruption or viruses. By participating in the Contest, all entrants agree to release and hold harmless Nutrien and its respective affiliates and their and their affiliates’ respective officers, directors, employees, agents, successors and assigns from and against any and all claims based on or relating to the Contest.

Decisions of Nutrien with respect to any matter related to the Contest shall be final and binding on all entrants.

By entering the Contest, entrants are consenting to Nutrien collecting, storing and using the personal information submitted by all entrants for the purposes of administering the Contest. Additional information on Nutrien's privacy practices can be found in its Privacy Policy. In the event of a discrepancy between these rules and other disclosure or statements related to the Contest, these rules shall govern.

7. Limitation of Liability
If, for any reason, the Contest is not capable of running as planned by reason of any causes beyond the control of Nutrien that, in the sole opinion of Nutrien, could corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Nutrien reserves the right in its sole discretion to cancel, terminate, modify, or suspend the Contest and select the winner from eligible entries received prior to the action taken.

IN NO EVENT WILL NUTRIEN, ITS AFFILIATES, SUBSIDIARIES, ADVERTISING OR PROMOTIONAL AGENCIES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES, OR AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR DAMAGES FOR LOST PROFITS, REVENUE, OR OPPORTUNITY, OR FOR BUSINESS INTERRUPTION) THAT EXCEED THE VALUE OF THE PRIZE TO BE AWARDED, IN EACH CASE, ARISING OUT OF THE PROMOTION OR CONDUCT OF, OR ANY ENTRANT’S PARTICIPATION IN, THE CONTEST OR OUT OF ENTRANT’S ACCESS TO AND USE OF NUTRIEN'S WEB SITE OR THE DOWNLOADING FROM AND/OR PRINTING OF MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON SUCH SITE OR ANY PRIZE WON IS PROVIDED "AS 3 IS"

WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS, IMPLIED OR COLLATERAL, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OR GENERAL PURPOSE OR USE, OR NON-INFRINGEMENT.

8. Governing Law and Disputes
Any and all disputes claims, and causes of action arising out of or connected with the Contest, or any prizes awarded or merchandise redeemed, and all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of entrants and Nutrien in connection with the Contest shall be governed by, and construed in accordance with, the laws of the Province of Ontario without giving effect to its conflict of law rules and provisions. All entrants consent to the jurisdiction and venue of the Province of Ontario. Furthermore, by entering the Contest, all entrants agree that any dispute or litigation arising from or relating to this Contest shall be resolved individually, without resort to any form of class action, and exclusively by the Ontario courts, which shall have sole jurisdiction over such matters; they agree to submit to the laws of and the jurisdiction of the federal courts of Canada and provincial courts of the Province of Ontario; and they hereby waive the jurisdiction of any other court that now or in the future could be considered competent for any reason. The venue shall only be Toronto, Ontario.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. If any provision is determined to be invalid or otherwise unenforceable, these Official Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
